Software as a Service (SaaS) Subscription Agreement
Between Lawgistics Limited and Clients of Driver Options
Background
Supplier: Lawgistics Limited, incorporated and registered in England and Wales (company number 04091280), with its registered office at Vinpenta House, High Causeway, Whittlesey, Peterborough, England, PE7 1AE.
Service: The Supplier has created and developed Driver Options, which it makes available:

To Driver Options Subscribers (purchasing directly via www.driveroptions.co.uk) for use in their internal business operations.

To Lawgistics Members and Associate Members as part of their membership packages.
Client Agreement: The Client agrees to use the Supplier’s service subject to the terms of this agreement.
Agreed Terms
1. Interpretation
The definitions and rules of interpretation in this clause apply to this agreement:

Driver Options Subscriber: A Client who subscribes directly to Driver Options through www.driveroptions.co.uk and is not a Member or Associate Member of Lawgistics.

Member: An individual, corporate, or unincorporated body (whether or not having separate legal personality) who has paid their yearly subscription fees to the Supplier.

Associate Member: A member of an association or club to whom the Supplier provides an entry-level legal advice service.

Authorised Administrator: The individual designated by the Client to access Driver Options.

Authorised Users: Client’s customer, warranty holder, agents, or independent contractors of the Client authorised by the Authorised Administrator to use Driver Options.

Services: The subscription services provided via www.driveroptions.co.uk or other notified websites.

Software: The online software applications provided by the Supplier as part of the Services.

Documentation: Supporting documents made available by the Supplier online.
2. Access and Use
2.1 Grant of Access

Driver Options Subscribers: The Supplier grants a non-exclusive, non-transferable right to access Driver Options for internal business operations. Account creation is free of charge. However, functionality is limited until the Client purchases credits to create, issue, and manage warranties. Access to certain features is subject to credit balance and adherence to this agreement.

Members and Associate Members: Access is included within the terms of their membership, contingent on compliance with membership obligations.
2.2 Conditions of Use
The Client will ensure:

Authorised Users maintain secure passwords.

Usage remains within any agreed limits on Authorised Users or locations.
2.3 Prohibited Actions
The Client shall not:

Attempt to copy, decompile, or reverse-engineer the Software.

Use the Software to compete with the Supplier’s services.

Grant access to third parties outside this agreement.
3. Charges and Payment
3.1 Driver Options Subscribers
No fees are required to register for a Driver Options account. However, credits must be purchased in advance via www.driveroptions.co.uk to generate and assign warranty documents. Access to functionality that requires credit usage will be restricted until sufficient credits have been purchased. Failure to maintain a positive credit balance may result in restricted service use.
3.2 Members and Associate Members
Access is included in their membership, provided that their membership fees are up to date. If a membership lapses, access to Driver Options will be revoked.
3.3 Excess Data Fees
Excessive data storage may incur additional fees at the Supplier’s discretion.
4. Client Data
4.1 Ownership
The Client retains ownership of all non-personal data entered into Driver Options.
4.2 Supplier Obligations
The Supplier shall:

Follow applicable data protection laws (including GDPR).

Maintain secure systems for data storage and backups.
4.3 Data Deletion
On termination, the Supplier may delete Client data after 60 days unless otherwise agreed in writing.
5. Termination
5.1 Driver Options Subscribers
This agreement remains in effect from the time the Client first uses the platform. As no subscription fee is charged, there is no monthly renewal. However, the Supplier reserves the right to deactivate inactive accounts or suspend access where no credit purchases have been made for a continuous period of 12 months. Clients may cancel their account at any time by contacting customer support.
5.2 Members and Associate Members
Termination of membership automatically ends access to Driver Options.
5.3 Supplier Rights
The Supplier may terminate this agreement immediately for breach of terms or non-payment.
6. Supplier Responsibilities
6.1 Functionality
The Supplier warrants that Driver Options will function in accordance with the provided documentation, subject to reasonable maintenance and unavoidable downtime.
6.2 Limitations
The Supplier does not guarantee:

Uninterrupted or error-free service.

Suitability of the service for specific business needs.
7. Liability
7.1 Limitation
The Supplier’s total liability is limited to the subscription fees paid in the 12 months preceding any claim.
7.2 Exclusions
The Supplier is not liable for:

Loss of profits or business.
-
Data corruption or unauthorised access caused by third parties.
8. Special Provisions for Free Access and Trials
8.1 Free Access
Clients may be granted complimentary access to limited functionality at the Supplier’s discretion. Such access is “as-is” with no guaranteed support unless otherwise specified.
8.2 Trial Periods
The Supplier may offer free trial periods. During this time:

The Client must comply with these terms.

The Supplier may terminate or modify the trial at any time.

Continued access post-trial requires payment.
9. Miscellaneous
9.1 Governing Law
This agreement is governed by the laws of England and Wales, with exclusive jurisdiction granted to its courts.
9.2 Notices
Notices must be delivered in writing to the Supplier’s registered address or the Client’s provided contact details.
Effective Date: This agreement becomes effective upon the Client’s first use of Driver Options.
Warranty Administration Terms and Conditions
1. Definitions
- Customer = The owner/driver of the vehicle covered by the policy
- Client = The supplying dealer
- Administrator = JP ASSIST
- Lawgistics = Lawgistics Ltd
- Repairer = A competent repairer of motor vehicles authorised to repair within the terms of the warranty on the vehicle covered by the policy
- Warranty Management System = Software used to create and manage warranty documents
- Credits = Form of Payment
- Administration Period = The duration of each warranty
When the Client creates an Administered Warranty using the Warranty Management System, they are explicitly agreeing to the following terms.
2. Administrator/Client/Customer Relationship
2.1 All claims will be given a unique reference number referred to as the “Claim ID”.
2.2 Unless otherwise agreed in writing, the Administrator will only advise a Customer to proceed with an agreed repair if the Client has given their authorisation.
2.3 Client authorisation can be given by either phone or an email to the Administrator, or by an update on the Warranty Management System.
2.4 Once a Client authorises a repair, by whatever means, the Administrator will proceed with the claim and the Client becomes liable for the authorised repair amount from that point.
2.5 Payments by the Client to the Repairer must be made by card or electronic transfer and made prior to the repair being undertaken unless otherwise agreed and noted on the Warranty Management System.
2.6 All vehicles must be registered on the Warranty Management System. Any Customers attempting to make claims on vehicles not yet registered with the Administrator will be referred back to the Client.
2.7 The Administrator will make every effort to maintain a rapid telephone answer response time but cannot guarantee a specific answer time.
2.8 Any concerns the Customer or Client has about the service being provided must be notified to the Administrator in writing and be within three days of the matter arising. The Administrator will investigate the issues raised and respond in due course.
3. Lawgistics/Client Relationship
3.1 Lawgistics will provide a Warranty Management System to allow the Client to register vehicles, manage claims and view repair histories. Basic reports will also be accessible via the online account. Bespoke reports may be requested by email but, depending on the complexity of the request, an additional charge may be applied.
3.2 The Client must be subscribing to Driver Options or Lawgistics’ Silver / Gold Membership to be eligible to access the Warranty Management System. If the Lawgistics Membership lapses and/or goes into arrears, the service will be suspended.
3.3 Payment for each Administration Period must be made in advance in form of Credits. Credits and top up of Credits must be made via the Warranty Management System. Price is dependent on the duration of each warranty and is subject to the table below. The price for each option duration is subject to change and Lawgistics will provide Clients with at least one month’s notice of any such change.
3.4 Except for the circumstances set out in paragraph 3.6 below, if either the Client or Lawgistics wishes to terminate the service being provided, then either must give one month’s written notice to the other. If required, the Administrator will continue to support vehicles already registered until the expiry of the last policy.
3.5 If Lawgistics deem there to have been a serious breach by the Client of the terms, conditions, or parameters governing these Terms, Lawgistics reserves the right to terminate or temporarily suspend the service without notice until the issue is resolved to the satisfaction of Lawgistics.
3.6 Upon termination of the service, any fee already paid to Lawgistics for registration, credits and/or administration of a warranty policy is not refundable.
3.7 All quoted prices are exclusive of VAT.
